For example, look at how many employees you plan on hiring and how much time you want to spend managing the company. You should also make sure you’re fully protecting your personal assets against future lawsuits and not incurring any excess taxes.

Depending on the size of your business and the types of goods or services you’re selling, you may prefer an LLC for the following reasons.

  • It offers a less formal structure. An “LLC” is also often easier to manage than an “S” corporation, especially when you have few employees. And you’ll never need to have any board meetings to tackle problems tied to issuing stock certificates;
  • You can readily change this business structure (once all proper paperwork is filed). If

you’re running an “S’ corporation, you’ll first have to arrange a formal board meeting before trying to change the business structure);

  • All members of an “LLC” do not have to be permanent residents or U. S. citizens;
  • You can more easily divide up who handles most of the daily work – while allowing others to just be investors. You can also simply divide up the profits based on each person’s initial investment and daily work contributions;
  • Disadvantages of an “LLC” compared to an “S” corporation. These can include having all the company profits subjected to self-employment taxes. Your growth may be limited since your business cannot issue any stock shares. Always ask your Houston business law attorney about any other potential disadvantages that may apply to your unique situation.

Why do some entrepreneurs prefer forming “S” corporations – despite the limitations?

  • Formality is viewed more favorably by some. Outside businesses often prefer interacting with companies that employ a more formal corporate structure;
  • You can often use this structure to avoid double taxation of income;
  • Profits are passed on to the shareholders (by way of their paid dividends). Therefore, the company does not have to pay taxes on those profits;
  • Possible drawbacks. All shareholders must be permanent residents or U.S. citizens. There can be no more than 100 shareholders. Added state filing fees may apply. Also, the IRS

tends to monitor “S” corporations very closely since some people try to improperly avoid certain taxes by wrongfully using this business structure.

What are some basic issues that must be addressed while forming an “LLC” in Texas?

  • Membership. You’ll need to decide how many owners or members you’ll have and if they’ll share all the managerial duties;
  • Naming your business. You must choose a unique name to avoid confusion with already existing companies;
  • File all required forms. You’ll need to start with a certificate of formation (Form 205) that must be filed with the Texas Secretary of State’s Office;
  • Registered agent. You must name a registered agent who can accept the service of process on behalf of your company;
  • You’ll need to create an operating agreement. It’s usually best to ask your Houston business law attorney to draft this document for you after you’ve

discussed the precise nature of your new business;

  • Fully satisfy all state and federal paperwork requirements;
  • Obtain all required state and local business licenses that may be required for your industry.

(Note: Some of these same steps may also be required while forming an “S” corporation below, regardless of whether they’re listed).

Think Twice Before Hiring Close Family Members & Friends

Creating a positive work environment always requires careful planning. Everyone must feel equally valued to do their best work. While it can be tempting to hire a close family member or friend who’s highly qualified, you must carefully consider how well the new person might fit in with your current employees.

Fortunately, there are some steps you can take to minimize potential problems. However, before making this type of choice, you should always confer with your business partners and hiring manager about the types of risks set forth below.

Unexpected employee jealousies & tensions can lower workplace morale

  • Current employees may fear they’ll never be given a fair chance again to compete for choice assignments and promotions once the new person comes on board;
  • Many or most of your conversations with this new individual may cause others to fear that their competing opinions will cease to matter or be respected;
  • Employee morale may suffer if your family member or friend is granted any special privileges regarding work hours, early promotions or salary;
  • Your new hire must be prepared to receive the “cold shoulder” from others. He or she must be prepared to avoid reacting in an angry or defensive manner;
  • Regular chains of command should be honored so that even your friend or family member must remain open to job performance feedback from other employees.

Ways you can try to minimize problems and help your family member or friend succeed

  • Openly discuss this hiring possibility with any equal partners in the business, as well as your hiring manager. If any of these people have serious misgivings, always consider hiring a well-qualified newcomer instead. If no written contracts are being used, make sure this person knows that they’ve been hired for a set trial period, especially if this holds true for all other employees. Clearly explain how you’ll need to end the work relationship if too many special privileges are requested — or sub-standard work is turned in;
  • Provide early and regular feedback to your family member or regarding their work. Let this person know that you’ll probably need to let the regular supervisor also offer constructive criticism;
  • Do not tolerate any special requests that go beyond what you grant to other employees. This type of activity will undermine your good relationships with other staff members.
  • Be realistically prepared to fire this person– sooner rather than later – if others are having to do extra work since your family member or friend isn’t working hard enough.

Obtaining an SBA Loan for Your Company

Although the SBA (Small Business Administration) doesn’t directly lend money to owners of small companies, it does create loan guidelines for general lenders, community development organizations and micro-lending institutions that partner with it. The SBA helps reduce the risks for these lenders as they select the most qualified small businesses seeking help.

SBA-guaranteed loans are designed to offer competitive fees and rates and applicants are usually offered helpful counseling during the application process.

You’ll know when you’ve found the best loan offer since it will provide you with one or more of the following benefits.

  • The need for little or no collateral
  • Flexible overhead requirements
  • Lower down payments

Although the stated reasons for securing a loan can vary, many companies seek loans to help them secure long-term fixed assets and basic funds to run their businesses. What types of eligibility requirements must be met to obtain a loan?

Of course, your ability to repay the loan is of keen interest to lenders, along with having a very secure business purpose. While a strong credit rating is highly desirable for obtaining loans, if you’re running a new company, certain start-up funds may still be made available to you.

Keep in mind that all lenders are entitled to establish their own, supplemental eligibility requirements for making an SBA-guaranteed loan – and they’re also entitled to ask about the following information.

  • If your company is properly registered and currently eligible to do business;
  • Whether your business is currently operating in the United States or one or more of its territories;
  • If you can easily document the time and money each business partner has already invested in the company;
  • If you can provide evidence of any recent, unsuccessful efforts to secure a non-SBA loan.

Can small companies operating as exporters of goods obtain loans from the SBA?

The SBA does try to help such companies. However, you’ll need to usually start your search for a possible lender by first contacting an SBA International Trade Specialist or the group’s Office of International Trade. Exporters often need help securing additional funds to cover their daily operating expenses, placing advance orders with suppliers and debt refinancing.

How should my company go about looking for a specific SBA-affiliated lender?

You’ll first need to spend five to ten minutes answering questions on the SBA website concerning your company’s present needs. You should then receive an email matching you to one or more interested lenders. It is then up to you to contact each potential lender to discuss possible rates, fees and other factors involved with structuring a loan. You’ll then need to submit applications and wait to receive responses.

If you do not receive any offers that you believe are favorable or viable, you can ask to speak to an SBA counselor again to see if there’s a better way for your company to try and secure the type of loan you need.

How the Texas Business Opportunities Act Seeks to Help Consumers

One the main goals of the Texas Business Opportunity Act is to protect consumers interested in starting their own businesses from scam artists eager to defraud them out of their money. When ads appear on TV or via email — promising large profits in exchange for a small, initial investment – it’s never wise to assume a valid offer is being made.

Some of the most common business opportunity ads often claim that you’ll need to do very little work before you’ll start receiving your first profits. That’s rarely an honest offer since running a business is often hard work. Now that so many older Americans (and others) have been laid off from their jobs, it’s critical to carefully review each offer and look for “red flags” warning you of possible fraud.

The following information will help explain some of the different ways that the Texas Business Opportunity Act tries to regulate the way that many programs go about seeking investors and operating in this state.

Types of business offers governed by the Texas Business Opportunity Act

  1. Those that require the buyer to pay at least $500 to begin setting up the business that’s being sold;
  2. Where the seller claims that you’ll earn back your initial investment (or more) in profits; and
  3. The seller promises to do one or more of the following acts to close the deal:

a). Provide you with a location – or help you find one (that’s not currently owned by you or the seller) where you can use or operate the goods or services being leased or sold by the seller;

 b.) Help you create a marketing, sales and production program (unrelated to a formal franchise business governed by separate laws);

 c.) Promises to buy back products, equipment or supplies (or goods made from them) provided to you so you can run the business.

To further protect the public from dishonest business offers, the Attorney General of Texas requires parties making offers that meet the description above to first register with the Secretary of State and provide any applicable bond or trust account required.

Whenever you become interested in investing in any business opportunity that even vaguely appears to be covered by the Texas Business Opportunity Act, it’s always best to review the matter with your Houston business law attorney. As a potential investor, you should also be provided with key information (required by law) about any company – before ever tendering any money.

Legal disclosures companies must provide

When a business offer is made in Texas and is covered by the Texas Business Opportunity Act, the seller must provide specific information to the buyer ten (or more) days before any contract is signed by the parties and before any money is paid to the seller.

Here are some of the disclosures that must be provided.

  • Names and addresses of all parties directly affiliated with the seller in the business being marketed;
  • A specific listing of all services the seller is promising to perform for the buyer (such as setting up a product marketing program);
  • An updated, current financial statement covering the seller’s finances;
  • All details covering any training program being offered by the seller;
  • How all services will be provided by the seller regarding the products and equipment being sold – and all key terms involved with the leasing agreements covering business locations being provided to the buyer;
  • Information pertaining to any of the seller’s bankruptcies (or civil judgments obtained against the seller) during the last seven years.

The importance of distinguishing multi-level marketing offers from pyramid schemes

Make sure the business you’re interested in requires you to do some type of work (such as selling products or services) before paying you any profits. If you are only being urged to solicit additional participants in the business, there’s a strong chance that you’re being “tricked” into building a pyramid scheme that may earn you short-term gains before the entire investment program collapses.

Always obtain legal advice regarding any business that sounds too much like a quick way to earn a lot of money. Attractive shortcuts to huge profits – especially those promoted in many weekend hotel and restaurant seminars – are often sham operations.

Fully handle all due diligence tasks in a timely manner so you can hopefully determine how your competitors have been successfully reaching the very customers you hope to win over. Be sure the market (or location) you’re targeting can handle all the current competition – and make adequate plans to distinguish your brand from all the others.

“Series, LLC” -The Next Generation of Asset Protection for Investors

A series limited liability company allows a traditional limited liability company to separate into an unlimited number of multiple parts or “cells” with the establishment of one or more series of members, membership interests, managers, or assets – each a series – and each series is essentially treated like its own limited liability company (“LLC”). Currently, only the following states have statutes authorizing some form of series LLCs: Alabama, Delaware, Illinois, Iowa, Kansas, Minnesota, Missouri, Montana, Nevada, North Dakota, Oklahoma, Tennessee, Utah, Wisconsin and Texas. Texas enacted its statue in 2009 and it can be found in the Texas Business Organizations Code (“TBOC”), title 3, subchapter M, sections 101.601 – 101.621.

Typically, each series (i) owns its own assets and has its own liabilities; (ii) has the availability to have different members, managers and types of membership interests; (iii) has the ability to sue and be sued; (iv) can have its own business purpose; (v) has the ability to contract in its own name; and (vi) can grant a security interest in its own name.

Generally, the debts, liabilities, losses, obligations, and expenses of one series will not be enforceable against another series’ assets or the assets of the “parent” limited liability company. This makes it a viable option for any business where it is desirable to separate assets or business lines into distinct entities, such as investment companies, real estate development companies, oil and gas companies and licensing or regulatory companies. The TBOC provides that in order for the liability shield to exist three requirements must be satisfied: (i) the certificate of formation of the main LLC must contain a “notice provision”, which references the liability protection provided for by TBOC section 101.602(a); (ii) the company agreement of the main LLC must contain a statement setting forth the liability protection provided for by TBOC section 101.602(a); and (iii) records must be maintained for each series that “account for the assets associated with that series separately from the other assets of the [parent LLC] or any other series”.

One of the great benefits of series LLCs are the cost savings related to organizational filing fees. In Texas, the filing fee to create a series LLC is the same as an individual LLC; $300.00 (non-expedited). Thus, to create six LLCs would be a minimum cost of $1,800.00 versus the cost of creating a series LLC of $300.00. Oftentimes, series LLCs may also result in lower legal costs as it reduces the need for separate operating agreements and some document preparation.

While there are still issues to be considered when determining whether a series LLC might be right for a particular business, series LLCs are growing in popularity and are an additional tool in any investor’s or businesses’ proverbial toolkit.

Making the Critical Distinction Between Employee and Independent Contractor

Among the thorniest concerns facing Texas business owners, large and small, is the issue of whether they are properly classifying certain types of workers as employees or independent contractors. As there are clear advantages to designating individuals as independent contractors, some businesses are deliberately making incorrect classifications, whereas others are making these errors inadvertently and subjecting themselves to onerous penalties and fines. Common Reasons for Misclassification

The benefits of designating a worker as an independent contractor as opposed to an employee are many. An employee will potentially be eligible for federal and state minimum wage, overtime, unemployment insurance and worker’s compensation benefits. They will also require necessary equipment, training and supervision, all things thatcan prove costly to employers. In contrast, independent contractors will be entitled to none of those expensive benefits and will require little to no additional training. Therefore, it is easy to see why many employers frequently select this classification, even if it is arguably inaccurate when applied to the facts at hand.

There can be serious consequences when a business fails to correctly classify workers as employees or independent contractors. Those with true employees are required by the IRS to withhold income taxes, social security taxes and medicare taxes, and neglecting to make those deposits can leave companies vulnerable to additional liabilities in the form of interest, penalties and other unwanted scrutiny. Further, the Department of Labor has recently signaled its intention to enhance audit efforts with regard to companies it believes are out of compliance in this regard and to utilize its powers to impose burdensome penalties.

Determining Proper Worker Classification

Muddying the waters further for companies wishing to remain in compliance with all relevant governmental agencies is the fact that each one uses its own set of criteria for determining which workers are properly considered employees and which ones are truly independent contractors. The Department of Labor focuses on a so-called “economic realities” test that uses six factors to aid businesses as they attempt to choose the correct classification for workers, including:

  • Whether the work being performed is integral to the employer’s business;
  • Whether the worker’s managerial skills impact his or her opportunity to realize profit or loss;
  • How a worker’s relative investment stacks up against the company’s investment;
  • Whether the work being done requires specialized skills and initiative;
  • Whether the relationship between the parties is permanent or of an indefinite nature;
  • The degree and nature of the company’s control over the worker’s activities, including where, how and when work is performed.

The IRS utilizes a test involving 11 distinct factors, focused heavily on similar criteria to those used by the Department of Labor. The employers financial and behavioral control of the worker are again pivotal to determining correct classification. The Texas Workforce Commission has promulgated a 20-factor test to assess worker status, which a company can use when facing an audit to overcome the presumption present under Texas law that all workers are employees. Under the Texas law presumption test, some specific hallmarks of a genuine independent contractor relationship include:

  • Absence of company-provided training for the worker;
  • Payment upon completion of projects, not by hourly wage;
  • Worker does not use company e-mail accounts;
  • No benefits are provided to the worker;
  • No tax withholdings are made and a 1099 is issued at year’s end;
  • The worker submits invoices for work performed;
  • The worker has a roster of other clients.

Though none of these factors are determinative in and of themselves, taken together they can help create the total picture from which an accurate classification can be made.

Remaining Mindful of Common Pitfalls

Many businesses that find themselves out of compliance when it comes to their classification of workers have not intentionally sidestepped the law, but have simply fallen victim to certain common misconceptions. For instance, some believe that execution of a simple contract declaring the worker to be an independent contract will provide the necessary clarity. However, while Texas will generally defer to the right of parties to contractually define an employment arrangement in this way, the Department of Labor will still use its own test to determine proper status. Further, allowing a worker to work flexible hours in a location of their choosing does not automatically confer independent contractor status. Depending on the work being done, the Labor Department may still find that such individuals are in fact true employees. Ultimately, it is necessary to undertake a global analysis of a wide range of factors in order to make correct classifications and remain on the right side of the law.

Mitigating the Risks of Misclassifying Workers

As stated earlier, many businesses that are out of compliance when it comes to classifying workers have not knowingly made such errors, but have simply misunderstood or misapplied the traditional tests used by key governmental agencies. Fortunately, in addition to seeking guidance from a skilled Texas business lawyer, there are other steps that can be taken to mitigate the risk of improper classification of workers. Some may choose to restructure or re-document their existing independent contractor relationships with greater precision and with an eye toward explicit legal compliance. Others may simply choose to reclassify their independent contractors altogether, and certain businesses may opt to redistribute such workers to workforce management enterprises or dedicated staffing firms.
